These terms apply to all visitors, users, and others who access or use our services, including but not limited to our ClearCHEQ CTS Solution, Data Exchange Module (DEM), Remote Deposit Capture, and Cheque Reader Engine.

2. Services Description

2.1 CTS Solutions

Finverge provides specialized payment processing solutions for commercial and cooperative banks, including cheque truncation systems, mobile deposit capture, data exchange modules, and AI-powered cheque reader engines.

2.2 Service Availability

We strive to provide continuous service availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control.

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, though we will make reasonable efforts to notify clients of significant changes.

3. User Accounts and Registration

3.1 Account Creation

Certain services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or are inactive for extended periods, subject to applicable laws and contractual obligations.

4. Intellectual Property Rights

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and technology, are owned by Finverge and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. This license does not include any right to reproduce, distribute, or create derivative works.

4.3 Client Data

You retain all rights to data you provide to us. We only process such data as necessary to provide our services and in accordance with our Privacy Policy and applicable agreements.

5. Acceptable Use Policy

5.1 Permitted Use

You may use our services only for lawful purposes and in accordance with these terms. You agree not to use our services in any way that violates applicable laws or regulations.

5.2 Prohibited Activities

You agree not to: (a) attempt to gain unauthorized access to our systems; (b) interfere with the proper functioning of our services; (c) use automated systems to access our services without permission; (d) transmit malicious code or viruses; (e) engage in fraudulent activities.

5.3 Consequences

Violation of this acceptable use policy may result in immediate termination of your access to our services and potential legal action.

6. Service Level and Performance

We will use commercially reasonable efforts to provide reliable and secure services. However, we do not guarantee error-free or uninterrupted service.

6.2 Client Responsibilities

Clients are responsible for ensuring their systems meet the technical requirements for our services and for maintaining appropriate backup procedures.

6.3 Support Services

Support services are provided according to the terms of your service agreement. We offer various support tiers including remote support, onsite support, and priority support.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that our services will meet your specific requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected. No advice or information obtained from us shall create any warranty not expressly stated in these terms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINVERGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to Finverge for the services in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Finverge, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from: (a) Your use or misuse of our services; (b) Your violation of these terms; (c) Your violation of any rights of another party; (d) Your violation of any applicable laws or regulations.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

10.2 Jurisdiction

Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

10.3 Dispute Resolution

Before filing any legal action, parties agree to attempt to resolve disputes through good faith negotiations. If negotiations fail, disputes may be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996.

11. General Provisions

11.1 Entire Agreement

These terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Finverge regarding our services.

11.2 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these terms will not be deemed a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these terms without our prior written consent. We may assign our rights without restriction.

11.5 Updates to Terms

We reserve the right to update these terms at any time. We will notify users of material changes by posting the updated terms on our website with a new "Last Updated" date.
